AGEDB Technology Ltd. Announces Share Consolidation

Vancouver, BC, June 10, 2025 — AGEDB Technology Ltd. ("AGEDB" or the "Company") (TSXV: AGET) has received approval from its Board of Directors for a consolidation of its common shares, setting the ratio at one (1) post-consolidated share for every ten (10) pre-consolidated shares. Presently, the Company has 42,383,200 common shares outstanding, which will reduce to approximately 4,238,320 shares following the consolidation.

In compliance with the Business Corporations Act of British Columbia, no fractional shares will be issued; instead, they will be rounded as specified. Additionally, all outstanding convertible securities will be adjusted according to the new consolidation ratio. The Company will retain its name and trading symbol on the TSX Venture Exchange.

The effective date for the consolidation will be announced in a future news release and is subject to the approval of the TSX Venture Exchange.
